Terms of Service

These Terms of Service ('Terms') are a legally binding agreement between DataSentics, a.s., with its registered office at Washingtonova 1599/17, Nové Město, 110 00 Praha 1, ID No. 05355541, registered in the Czech Commercial Register under File No. B 24293 ('DataSentics', 'we' or 'our') and you ('Customer') governing the use of AI Calving – our AI-powered calving monitoring service for livestock farms.

By accessing or using the Service, you agree to be bound by these Terms.

AI Calving is a computer vision system for automated calving stage detection. The Service consists of:

• An NVIDIA Jetson Thor edge computing device installed on the Customer's farm
• Software that analyses live camera footage to detect calving stages
• An alert notification system delivering messages via WhatsApp and/or SMS

The Service is provided on a subscription basis. Specific parameters, scope, and conditions are defined in the individual service agreement (Order).

DataSentics will endeavour to maximise the availability of the Service and reserves the right to make changes to the Service to maintain or improve its quality and performance.

The Customer agrees to:

• Use the Service only for lawful purposes and in accordance with these Terms
• Provide all necessary cooperation, including access to premises, camera systems, and technical documentation required for installation and operation
• Not attempt to reverse-engineer, copy, modify, or create derivative works of the Service or its software
• Not allow unauthorised third parties to access or use the Service
• Not upload or transmit viruses, malware, or other harmful data
• Back up any Customer data independently

The Customer is responsible for ensuring that camera footage submitted to the Service complies with applicable laws, including privacy and data protection regulations.

All rights in and to the Service, including the AI models, software, algorithms, and related documentation, remain the property of DataSentics or its licensors.

The Customer is granted a non-exclusive, non-transferable, revocable licence to use the Service for the duration of the Agreement. This licence does not permit copying, modification, or redistribution of any part of the Service.

The Customer is not entitled to use DataSentics' trade name, trademarks, logos, or domain names without prior written consent.

The Customer agrees to pay the subscription fee as set out in the Order. The subscription fee is invoiced monthly and becomes payable upon activation of the Service.

DataSentics reserves the right to adjust pricing. Updated pricing applies from the beginning of the next subscription term, with at least 30 days' prior notice.

The fee includes software, support, and model updates, but does not include the one-time hardware and installation fee, which is agreed separately.

Invoices are due within 14 days of delivery. Late payments may result in suspension of the Service and a contractual penalty of 0.1% of the overdue amount per day of delay.

Use of the Service is at the Customer's own risk.

DataSentics shall not be liable for:

• Losses resulting from temporary unavailability or outages of the Service
• Inaccuracies in detection outputs – AI detection is a support tool and does not replace professional judgement
• Damage caused by Force Majeure events
• Indirect or consequential losses, including lost profit

To the extent permitted by law, DataSentics' total liability is limited to the fees paid by the Customer in the three months preceding the event giving rise to the claim.

DataSentics does not warrant that detection will be 100% accurate. The Service is intended as a monitoring aid, not a guarantee of intervention.

The Agreement commences on the date specified in the Order and remains in effect for the initial term stated therein. It automatically renews for successive one-year periods unless either Party provides written notice of non-renewal at least 30 days before the end of the current term.

DataSentics may suspend or terminate the Service at its sole discretion, in which case it will refund any prepaid fees for the unused portion of the Service.

Either Party may withdraw from the Agreement if the other Party repeatedly breaches its terms, becomes insolvent, or is dissolved.

Upon termination, the Customer's access to the Service ceases and DataSentics will destroy all Customer data within 14 days, unless otherwise required by law.

DataSentics may amend these Terms at any time. Customers will be notified of changes by email at least 30 days before the change takes effect.

If the Customer does not terminate the Agreement before the amendment becomes effective, the Customer is deemed to have accepted the updated Terms.

These Terms are governed by the laws of the Czech Republic.

All disputes arising from or in connection with these Terms shall be finally resolved by the Arbitration Court attached to the Czech Chamber of Commerce and the Agricultural Chamber of the Czech Republic, in accordance with its Rules, by three arbitrators.
